1. Agreement and Eligibility
These Terms and Conditions, referred to as the “Terms”, govern access to and use of qordio.com and Qordio’s websites, applications, software, project management features, client portals, storage, integrations, support, and related services, collectively the “Services”. “Qordio”, “we”, “us”, and “our” refer to the operator of the Services. “Customer”, “you”, and “your” refer to the person or organization accepting these Terms.
You must be at least 18 years old, or the age of legal majority where you live, and legally able to enter into a contract. The Services are intended for business and professional use. You may not use the Services if applicable law prohibits you from doing so or if Qordio has previously suspended or terminated your access for a serious violation.
If you accept these Terms on behalf of a company, employer, client, or other organization, you represent that you have authority to bind that organization. In that case, “Customer” includes the organization. If you do not have that authority, do not accept these Terms or use an organization’s workspace without permission.
2. The Qordio Services
Qordio provides tools for organizing work, including workspaces, projects, tasks, boards, sprints, templates, comments, mentions, notifications, client access, files, reporting, filters, exports, and integrations. Features and limits depend on the selected plan, add ons, account configuration, region, and product version. Current plan details are shown on the Qordio website, in the application, in an order form, or at checkout.
Qordio may improve, replace, add, limit, or discontinue features. We will use reasonable efforts to provide advance notice when a material change significantly reduces a paid core feature during an active subscription, unless the change is needed for security, legal compliance, third party requirements, or urgent operational reasons.
The Services are not an emergency, medical, legal, financial, accounting, payroll, or regulated records service. You are responsible for reviewing outputs, exports, permissions, due dates, and workflow decisions before relying on them.
3. Accounts, Workspaces, and Administrators
3.1 Account registration and security
- Provide accurate and current registration, billing, and contact information.
- Keep passwords, authentication codes, API credentials, OAuth tokens, and devices secure.
- Do not share individual login credentials. Use available member, client, or guest access features instead.
- Notify Qordio promptly if you suspect unauthorized access or misuse.
- You are responsible for activity performed through your account unless caused by Qordio’s breach of these Terms or failure to use reasonable security measures.
3.2 Workspaces and administrators
A workspace owner or administrator may invite and remove users, assign roles, configure permissions, connect integrations, manage billing, access or export workspace content, and suspend or delete managed accounts or data. Users of an organization controlled workspace acknowledge that the organization may control their access and content. Qordio may rely on instructions from the verified owner or administrator.
3.3 Client portal and external users
Customers may invite clients or other external users to view or interact with limited workspace information. The Customer is responsible for confirming that each invitation, permission, disclosure, and use of personal information is authorized. External users must comply with these Terms and any additional instructions provided by the Customer.
4. Subscriptions, Billing, and Taxes
4.1 Plans and recurring subscriptions
Qordio may offer free, paid, trial, promotional, and enterprise plans. A paid subscription begins when payment is successfully processed or on the start date stated in an order form. Unless stated otherwise, paid subscriptions renew automatically for the same billing period until canceled. You authorize Qordio and its payment processor to charge the payment method on file for recurring fees, usage fees, seats, storage, add ons, taxes, and other amounts you approve.
4.2 Fees and payment processing
Fees are stated in the currency shown at checkout and are due in advance unless an order form says otherwise. Payment services are provided by third party payment processors. Qordio may receive transaction identifiers, payment status, limited payment method details, billing address, and fraud signals, but generally does not store full payment card numbers.
4.3 Taxes
Fees are exclusive of taxes unless stated otherwise. You are responsible for sales, value added, goods and services, withholding, or similar taxes arising from your purchase, except taxes based on Qordio’s net income. If you are legally required to withhold an amount, you must provide valid documentation and, where permitted, pay an additional amount so Qordio receives the amount invoiced.
4.4 Price changes
Qordio may change prices, plan limits, and billing methods. For an existing recurring paid subscription, a price increase will normally apply from the next renewal after reasonable notice, unless the change results from taxes, exchange rates, a user requested plan change, or additional usage.
4.5 Refunds
Except where required by law, stated in a written refund policy, or agreed in an order form, fees are nonrefundable and credits are not provided for partial billing periods, unused seats, unused storage, or early cancellation. Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.
5. Plan Changes, Downgrades, Failed Payments, and Cancellation
5.1 Upgrades
An upgrade may take effect immediately. Qordio may charge a prorated amount for the remainder of the current billing period and the new recurring fee from the next renewal. New limits and features apply according to the confirmation shown in the Services or order form.
5.2 Downgrades
A requested downgrade normally takes effect at the end of the current paid billing period unless Qordio states otherwise. Until then, the existing plan remains active. After the downgrade, lower limits for users, workspaces, projects, clients, storage, integrations, exports, or other features may apply.
If the account exceeds the limits of the lower plan, Qordio may restrict creation of new content, place affected features or content in read only mode, require the Customer to remove or export excess data, disable selected integrations, or prevent adding users or projects. Qordio will not intentionally delete active customer content solely because of a downgrade without reasonable notice and an opportunity to reduce usage or export data, unless deletion is required for security, law, or an agreed retention rule. Continued over limit usage may require an upgrade or paid add on.
5.3 Failed or overdue payments
If a payment fails, Qordio or its payment processor may retry the charge and notify the billing contact. During a reasonable grace period, the account may continue to operate with warnings or limited functionality. If payment remains overdue, Qordio may suspend paid features, restrict the workspace to read only access, remove access to premium integrations, or downgrade the account to an available free plan. Qordio may terminate the subscription or account after further notice if the balance remains unpaid.
An automatic downgrade following failed payment may cause the account to exceed free plan limits. The over limit protections in Section 5.2 apply. Restoring a paid plan may require payment of outstanding amounts and reactivation may not restore a third party integration that expired or was revoked.
5.4 Cancellation
The subscription owner may cancel through billing settings, where available, or by contacting support. Cancellation stops future renewal and usually takes effect at the end of the current paid period. Canceling a subscription does not automatically delete the Qordio account or workspace. Account deletion must be requested separately.
5.5 Data before plan changes or closure
You are responsible for exporting needed information before a downgrade, suspension, cancellation, or deletion. Qordio may provide export tools based on the applicable plan. The availability and format of exports may be limited by technical, legal, security, third party, or plan restrictions.
6. Customer Content and Data Responsibilities
6.1 Ownership
As between Qordio and the Customer, the Customer retains ownership of information, files, text, comments, project details, client information, and other content submitted to the Services, referred to as “Customer Content”. These Terms do not transfer ownership of Customer Content to Qordio.
6.2 License to operate the Services
The Customer grants Qordio and its service providers a worldwide, nonexclusive, limited license to host, store, copy, transmit, display, process, modify for technical formatting, back up, and otherwise use Customer Content only as necessary to provide, secure, support, and improve the Services, comply with law, and follow the Customer’s instructions. This license ends when the content is deleted from active systems, subject to backup retention, legal obligations, and deidentified information.
6.3 Customer responsibilities
- Obtain all rights, permissions, and lawful bases needed to submit and process Customer Content.
- Provide required notices to employees, clients, contractors, and other individuals.
- Configure workspace roles, sharing, client access, retention, and integrations appropriately.
- Maintain independent copies of critical records and verify exports or backups appropriate to the Customer’s needs.
- Ensure Customer Content and instructions do not violate law, intellectual property, privacy, confidentiality, employment obligations, or third party rights.
- Respond to requests concerning Customer controlled data and cooperate with Qordio where reasonably required.
6.4 Content moderation and removal
Qordio does not routinely review all Customer Content. We may investigate, restrict, preserve, or remove content when reasonably necessary to enforce these Terms, protect the Services or users, respond to a valid legal request, address alleged infringement, or prevent harm. Where appropriate and legally permitted, we will notify the Customer.
7. Google Drive and Other Third Party Services
7.1 Optional integrations
Qordio may allow you to connect Google Drive and other third party services. Integrations are optional and are activated only when an authorized user grants access. By enabling an integration, you instruct Qordio to exchange information with that provider as needed to perform the selected feature.
7.2 Google Drive
When you connect Google Drive, Google displays the permissions requested. You authorize Qordio to access and process the Google account and Drive data covered by those permissions for the purposes described in the Privacy Policy and in product disclosures. You remain responsible for the files you select, the permissions you grant, and compliance with Google’s terms. You may disconnect the integration or revoke access through your Google Account.
Qordio’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
7.3 Third party terms and availability
Third party services are controlled by their providers and may change, suspend, limit, or discontinue access without Qordio’s control. Their own terms, privacy policies, fees, quotas, and security practices apply. Qordio is not responsible for third party services, data loss caused by a third party, or the continued availability of an integration. Google is not a sponsor of, or responsible for, Qordio.
7.4 Revocation and broken links
If an integration is disconnected, revoked, expired, or unavailable, linked content may stop opening or synchronizing. Qordio may retain file names, identifiers, links, and activity records as part of workspace history until the related content is deleted, as described in the Privacy Policy.
8. Acceptable Use
You must not, and must not allow another person to:
- Use the Services for unlawful, fraudulent, deceptive, harmful, abusive, harassing, discriminatory, or infringing activity.
- Upload malware, malicious code, destructive files, or content designed to disrupt, damage, monitor, or gain unauthorized access to systems or data.
- Attempt to bypass authentication, usage limits, rate limits, access controls, security testing restrictions, or payment requirements.
- Access another user’s account, workspace, files, or data without authorization.
- Probe, scan, or test the vulnerability of the Services without Qordio’s written permission, except through an authorized security program.
- Reverse engineer, decompile, disassemble, copy, scrape, frame, mirror, resell, sublicense, or create a competing service from Qordio, except to the limited extent a restriction is prohibited by law.
- Use automated means that impose an unreasonable load, interfere with normal operation, or extract data beyond documented and authorized functionality.
- Use the Services to send spam, unsolicited messages, illegal marketing, or content that violates privacy or communications laws.
- Store highly sensitive regulated data, such as payment card authentication data, government classified information, or protected health information, unless Qordio has expressly agreed in writing to support that data type.
- Misrepresent affiliation with Qordio, remove proprietary notices, or use Qordio branding in a misleading manner.
Qordio may establish reasonable technical limits to protect service quality and security. If your usage materially harms the Services or other customers, we may require corrective action or temporarily restrict the affected activity.
9. Qordio Intellectual Property
Qordio and its licensors own the Services, software, designs, interfaces, documentation, trademarks, logos, templates provided by Qordio, and all related intellectual property, excluding Customer Content and third party materials. Subject to these Terms and payment of applicable fees, Qordio grants the Customer a limited, nonexclusive, nontransferable, revocable right to access and use the Services during the applicable subscription for internal business purposes.
No rights are granted except as expressly stated. “Qordio” and associated logos are trademarks or brand identifiers of Qordio. You may not use them in a way that implies sponsorship, partnership, or endorsement without written permission.
10. Feedback, Publicity, and Aggregated Data
10.1 Feedback
If you provide ideas, suggestions, or feedback about Qordio, you grant Qordio a perpetual, worldwide, irrevocable, royalty free right to use and incorporate that feedback without restriction or payment, provided Qordio does not identify you publicly without permission.
10.2 Aggregated and deidentified information
Qordio may generate and use aggregated or deidentified information about service performance and usage for analytics, security, benchmarking, capacity planning, and product improvement, provided the information does not reasonably identify the Customer or an individual. Google user data is handled subject to the additional restrictions described in the Privacy Policy.
10.3 Customer name and publicity
Qordio will not publicly use the Customer’s name, logo, or trademarks as a customer reference without permission, except where an order form or separate written agreement allows it.
11. Confidentiality
Each party may receive nonpublic information that is identified as confidential or that a reasonable person would understand to be confidential. The receiving party will use confidential information only to perform or receive the Services and will protect it using reasonable care. These obligations do not apply to information that is public without breach, already lawfully known, independently developed, or rightfully received without confidentiality duties.
A party may disclose confidential information when required by law, court order, or regulator, and will provide notice where legally permitted. Qordio may disclose Customer confidential information to service providers and professional advisers that need access and are subject to appropriate confidentiality obligations.
12. Service Availability, Changes, and Beta Features
12.1 Availability and maintenance
Qordio aims to provide reliable Services but does not guarantee uninterrupted or error free operation. Downtime may result from maintenance, updates, security incidents, internet or cloud failures, third party services, events beyond reasonable control, or emergency measures. Enterprise service levels apply only if stated in a signed order form or service level agreement.
12.2 Updates and changes
We may deploy updates, patches, interface changes, and security controls automatically. Some changes may affect workflows or integrations. Customers are responsible for testing material workflows and maintaining appropriate operational procedures.
12.3 Beta and preview features
Features labeled beta, preview, experimental, early access, or similar are provided for evaluation, may be incomplete, may change without notice, and may be discontinued. They may have additional terms and should not be used for critical production data unless the Customer accepts the associated risk.
13. Suspension and Termination
13.1 Suspension
Qordio may suspend or restrict access if reasonably necessary to prevent security threats, fraud, illegal activity, material harm, excessive resource use, nonpayment, or a violation of these Terms. Where practical, we will provide notice and an opportunity to correct the issue. Immediate suspension may occur when delay could create risk or legal exposure.
13.2 Termination by the Customer
The Customer may stop using the Services, cancel a subscription, and request account deletion at any time. Fees remain subject to Section 4, and cancellation does not relieve amounts already due.
13.3 Termination by Qordio
Qordio may terminate these Terms or an account for a material breach that is not cured within a reasonable notice period, repeated violations, prolonged nonpayment, legal requirements, or discontinuation of the Services. Qordio may terminate immediately for severe abuse, fraud, unlawful activity, or security threats.
13.4 Effect of termination
Upon termination, the right to use the Services ends. Qordio may provide a limited period to export Customer Content, depending on the reason for termination, account status, plan, legal requirements, and technical feasibility. After the applicable period, Qordio may delete Customer Content in accordance with the Privacy Policy. Sections intended by their nature to survive, including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, indemnification, and dispute terms, will survive.
14. Warranties and Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. Qordio disclaims all implied or statutory warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, quiet enjoyment, and warranties arising from course of dealing or usage of trade.
Qordio does not warrant that the Services will be uninterrupted, secure, error free, or compatible with every device, browser, workflow, integration, or third party service; that data will never be lost; or that outputs, notifications, due dates, reports, suggestions, and integrations will always be complete or accurate. The Customer is responsible for appropriate backups, access controls, review, and business continuity.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, exclusions apply only to the extent legally permitted.
15. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenue, goodwill, business opportunity, anticipated savings, or data, even if advised that such damages are possible.
To the maximum extent permitted by law, each party’s total aggregate liability arising out of or related to the Services or these Terms will not exceed the fees paid or payable by the Customer to Qordio for the Services during the 12 months immediately before the event giving rise to the claim. For a free account, Qordio’s total aggregate liability will not exceed 100 United States dollars or the equivalent in local currency.
The exclusions and limits do not apply to liability that cannot legally be limited, or to a party’s fraud, willful misconduct, infringement or misappropriation of the other party’s intellectual property, breach of confidentiality, indemnification obligations, or payment obligations, to the extent applicable law requires a different treatment.
These limits reflect the allocation of risk between the parties and apply even if a limited remedy fails of its essential purpose.
16. Indemnification
The Customer will defend, indemnify, and hold harmless Qordio, its affiliates, officers, employees, and service providers from third party claims, damages, penalties, losses, and reasonable costs, including legal fees, arising from Customer Content, the Customer’s unlawful use of the Services, a breach of these Terms, violation of another person’s rights, or instructions given to Qordio, except to the extent caused by Qordio’s breach, negligence, or willful misconduct.
Qordio will promptly notify the Customer of an indemnified claim, provide reasonable cooperation at the Customer’s expense, and allow the Customer to control the defense and settlement, provided no settlement admits fault by Qordio or imposes nonmonetary obligations on Qordio without written consent.
17. Dispute Resolution and Governing Law
17.1 Informal resolution
Before filing a formal claim, each party agrees to provide written notice describing the dispute and to attempt in good faith to resolve it for at least 30 days. Notices to Qordio must be sent to support@qordio.com with “Legal Notice” in the subject line.
17.2 Governing law and courts
These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to conflict of law principles. Subject to any mandatory rights that apply to you, the courts located in Karachi, Pakistan will have exclusive jurisdiction over disputes arising from or relating to these Terms or the Services.
17.3 Injunctive relief
Nothing prevents either party from seeking urgent injunctive or equitable relief to protect security, confidential information, or intellectual property, or from using a small claims procedure where available.
18. Changes to These Terms
Qordio may update these Terms to reflect changes in the Services, law, security practices, pricing, or business operations. The updated Terms will be posted with a revised effective date. Material changes will be communicated through the Services, email, or another reasonable method. Changes generally take effect on the stated date. If you do not agree, you must stop using the Services and cancel before the changes take effect. Continued use after the effective date constitutes acceptance, except where law requires express consent.
19. General Terms
19.1 Notices
Qordio may send notices by email to the account or billing address, through the Services, or by posting on the website. You are responsible for keeping contact information current. Legal notices to Qordio must be sent to support@qordio.com and are effective when acknowledged by Qordio, unless applicable law requires another method.
19.2 Assignment
You may not assign or transfer these Terms or an account without Qordio’s written consent. Qordio may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer to an affiliate, provided the assignee assumes the relevant obligations.
19.3 Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, civil unrest, labor disputes, epidemics, internet or utility failures, cloud provider outages, cyberattacks, government action, or third party platform changes. Payment obligations for Services already provided are not excused.
19.4 Export and sanctions compliance
You must comply with applicable export control, sanctions, and trade laws. You represent that you are not prohibited from using the Services and will not make the Services available to a prohibited person, entity, or location.
19.5 Entire agreement and order of precedence
These Terms, the Privacy Policy, any signed order form, and any incorporated policy form the entire agreement concerning the Services and replace prior discussions on the same subject. If there is a conflict, a signed order form controls over these Terms for that order, and these Terms control over general website materials.
19.6 Severability, waiver, and interpretation
If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions remain effective. A waiver must be in writing and applies only to the specific instance. Headings are for convenience. “Including” means “including without limitation”. Electronic acceptance and records have the same effect as paper signatures where permitted by law.
19.7 No agency and third party beneficiaries
These Terms do not create a partnership, joint venture, agency, employment, franchise, or fiduciary relationship. Except for parties expressly entitled to indemnification, there are no third party beneficiaries.
